Terms and Conditions

1. Introduction
These Terms and Conditions (“Terms”) govern your access to and use of the PerfLeaf website performance monitoring platform and website (the “Service”), operated by PerfLeaf (“PerfLeaf”, “we”, “our”, or “us”), a company registered in England and Wales.
By creating an account, purchasing a plan, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and any Data Processing Addendum (where applicable). These documents form a legally binding agreement between you and PerfLeaf.
If you do not agree to these Terms, you must not use the Service.
2. Eligibility and Authority
You must be at least 18 years old and legally capable of entering into binding contracts.
If you use the Service on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms. In that case, “you” refers to the organisation.
You must not use the Service if doing so would breach any applicable law or regulation, including in the jurisdiction from which you access the Service.
3. Account Registration and Security
You must provide accurate, complete, and up-to-date account information.
You are responsible for:
- Maintaining the confidentiality of your login credentials and any API keys issued to you
- All activity carried out under your account, including by team members you invite
You must notify us promptly at [email protected] of any unauthorised access or security breach.
We may suspend, restrict, or terminate accounts that breach these Terms, are used for automated access without permission, are misleading or inactive, impersonate another party, or use multiple free accounts (whether by one person or a coordinated group) to circumvent usage limits or fair use thresholds.
4. Licence to Use the Service
Subject to these Terms and your payment of applicable fees, PerfLeaf grants you a limited, non-exclusive, non-transferable, and revocable licence to access and use the Service for your internal business purposes.
You may not:
- Resell, sublicense, or commercially exploit the Service
- Reverse engineer or attempt to extract source code, models, scoring methodology, or algorithms
- Use the Service to build, train, or benchmark a competing product
- Publish performance comparisons or benchmarks derived from the Service without our prior written consent
- Circumvent or attempt to circumvent rate limits, usage caps, or access controls
All rights not expressly granted are reserved by PerfLeaf.
5. Plans, Billing, and Payment
PerfLeaf offers free and paid subscription plans. Pricing, features, and usage limits (including “fair use” thresholds such as crawl frequency, page volume, or number of monitored sites) are described on our website at the time of purchase and within your account dashboard.
All fees are stated in GBP unless otherwise specified and are billed in advance on a monthly or annual recurring basis. Where we display pricing in other currencies for convenience, the GBP amount charged is authoritative.
Payments are processed by a third-party provider (such as Stripe). We do not store full payment card details.
By purchasing a paid plan, you authorise us to charge your selected payment method automatically until you cancel.
If a payment fails or a chargeback is raised, we may suspend access to paid features until the outstanding balance is resolved, without prejudice to any other rights we may have.
Some plans may include usage limits, fair use thresholds, or overage charges, as described at purchase. We will make reasonable efforts to notify you before restricting access for exceeding a fair use threshold, except where immediate restriction is necessary to protect the Service or third parties.
6. Cancellation and Refunds
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
We do not provide pro-rata or partial refunds, except where required by law.
If you are a consumer purchasing digital services, you acknowledge that by accessing the Service immediately, you request delivery during the statutory cooling-off period and may waive your right to cancel under the Consumer Contracts Regulations 2013. Where you are a consumer located outside the United Kingdom, the equivalent cooling-off or withdrawal rights of your local jurisdiction (for example, the EU Consumer Rights Directive) apply instead of, and are not restricted by, this clause.

Nothing in these Terms affects your statutory consumer rights.
7. Acceptable Use
You must not misuse the Service or use it in a way that could harm PerfLeaf, other users, or third parties, including any website or system scanned or monitored through the Service. You must not:
- Attempt to disrupt, overload, or bypass security or rate limits, whether of the Service or of any third-party system accessed through it
- Conduct unauthorised penetration testing, vulnerability scanning, or security testing beyond standard performance monitoring
- Use automated systems or scripts to access the Service outside of the API and integrations we provide, without prior approval
- Upload or process unlawful, infringing, or malicious content
- Use the Service in breach of applicable law or regulation, including computer misuse legislation such as the Computer Misuse Act 1990 or equivalent laws in your jurisdiction
We reserve the right to suspend or restrict usage that exceeds fair use thresholds, poses operational risk, or generates complaints from third parties.
8. Website Scanning and Third-Party URLs
The Service works by submitting automated requests to URLs you provide (“Scanning”) in order to measure performance and generate audits and insights.
You confirm that you own, operate, or otherwise have the necessary rights and authorisation to submit each URL for Scanning. You must not use the Service to scan websites or systems you do not have permission to test.
We aim to operate Scanning responsibly, including by applying reasonable rate limits and respecting standard crawl-control mechanisms such as robots.txt where applicable to our monitoring activity. However, you acknowledge that Scanning may, despite these precautions:
- Cause a target website or its infrastructure to log, rate-limit, block, or otherwise respond to requests from our systems
- Contribute to load on the target infrastructure
- Be treated by a third party as unauthorised or suspicious activity, particularly at high frequency or volume
PerfLeaf is not liable for any block, rate-limiting, downtime, cost, complaint, or other consequence experienced by a website as a result of Scanning you have configured or authorised. We may, at our discretion, refuse, throttle, or suspend Scanning of any URL, including where we reasonably believe you lack authorisation to submit it or where Scanning is generating abuse reports or third-party complaints.
You agree to indemnify PerfLeaf against claims arising from URLs you submit for Scanning, as set out in Section 14 (Indemnification).
9. Customer Data and Ownership
You retain ownership of all data, URLs, configurations, and content you submit to the Service (“Customer Data”).
By using the Service, you grant PerfLeaf a non-exclusive, worldwide licence to host, process, analyse, store, and display Customer Data solely for the purpose of providing, maintaining, and improving the Service.
You confirm that you have all necessary rights and permissions to submit Customer Data, including where it relates to third-party websites or services.
We act as a data processor where applicable. Our handling of personal data, including any subprocessors we engage, is governed by our Privacy Policy.
10. Metrics, Insights, and AI Outputs
The Service provides performance metrics, scores, audits, recommendations, and AI-generated insights based on automated analysis.
- Outputs are indicative estimates, not guarantees, and are provided without warranty of accuracy, completeness, or fitness for a particular purpose
- Results may vary due to external factors beyond our control, including third-party infrastructure, network conditions, and changes to the monitored website
- The Service does not provide legal, financial, security, or other professional advice
You are solely responsible for decisions made based on information provided by the Service, including any changes made to a website in reliance on our recommendations.
11. Service Availability and Support
We aim to keep the Service available but do not guarantee uninterrupted access.
Planned maintenance or unscheduled outages may occur. No service level agreement applies unless expressly agreed in writing.
12. Termination
You may delete your account at any time.
We may suspend or terminate access immediately if you breach these Terms, fail to pay applicable fees, or if continued access poses legal, security, or operational risk to PerfLeaf or any third party.
Upon termination, data will be deleted or anonymised in line with our Privacy Policy, except where retention is required by law or for legitimate business purposes. Sections of these Terms which by their nature should survive termination (including Sections 4, 9, 10, 13, 14, 15, and 20) will continue to apply.
13. Intellectual Property
All intellectual property rights in the Service, including software, code, data models, scoring methodology, branding, and documentation, are owned by PerfLeaf or its licensors.
14. Indemnification
You agree to indemnify, defend, and hold harmless PerfLeaf, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:
- Your breach of these Terms
- Your Customer Data, including any URL or website you submit for Scanning without the necessary rights or authorisation
- Your misuse of the Service or violation of any applicable law or third-party right
This indemnity does not apply to the extent a claim arises from PerfLeaf's breach of these Terms, negligence, or wilful misconduct.
15. Liability
The Service is provided “as is” and “as available”.
To the fullest extent permitted by law, PerfLeaf is not liable for indirect or consequential losses, including loss of profit, revenue, business opportunity, or data, or for any loss or damage arising from Scanning of a third-party website. Our total liability arising out of or in connection with these Terms, whether in contract, tort, or otherwise, will not exceed the fees paid by you in the 12 months preceding the claim.
Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any liability that cannot be excluded or limited by law.
16. Export Control and Sanctions
The Service must not be accessed from, or used by any person or entity located in, a country or region subject to UK, EU, or US trade sanctions, or by any person or entity listed on an applicable sanctions or restricted-party list. By using the Service, you confirm that you are not subject to any such restriction.
17. Force Majeure
PerfLeaf is not liable for any failure or delay in performing its obligations where such failure or delay results from causes beyond its reasonable control, including but not limited to internet or infrastructure outages, denial-of-service attacks, acts of God, war, industrial action, or governmental action.
18. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified by email or in-app at least 14 days before taking effect where reasonably practicable.
Changes will not apply retroactively to paid subscription periods already commenced.
19. General Provisions
Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets, or to an affiliate.
Entire Agreement. These Terms, together with our Privacy Policy and any order form or Data Processing Addendum, constitute the entire agreement between you and PerfLeaf regarding the Service, and supersede any prior agreements.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect, and the unenforceable provision will be replaced by one that most closely reflects its original intent.
No Waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
Notices. We may send notices to the email address associated with your account. Notices to us should be sent to the relevant address in Section 21.
20. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales, save that consumers resident elsewhere may also be entitled to bring proceedings in, and benefit from the mandatory consumer protection laws of, their country of residence.
